📄 Franchise Agreement Overview
1. Grant of Franchise
The Franchisor (Gurushishya Multiskills Pvt. Ltd. – Kiwano Technologies) grants the Franchisee the right to operate an IoT Robotics Training Center using the Kiwano System, trademarks, and proprietary curriculum at the agreed location.
2. Term of Agreement
Initial term: 1 year from the date of signing. Renewable on mutual consent with updated fees (if any).
3. Franchise Fee Structure

5. Franchisee Obligations
- Operate center in compliance with Kiwano standards
- Use trademarks only for authorized center
- Confidentiality and non-compete
- Submit student projects monthly
6. Confidentiality & Non-Compete
Franchisee and trained staff must keep all proprietary information confidential. Violation leads to immediate termination without refund.
7. Termination Clause
Either party may terminate on 15 days' written notice for material breach. No refund of franchise fee.
8. Payment Procedure

9. Governing Law & Disputes
Governed by laws of Maharashtra, jurisdiction Nagpur.
